Cohen, Salk & Huvard advises many small business owners and organizations. We recommend organizational structures, form new entities and prepare shareholder, partnership and operating agreements to allocate the rights and duties of new owners. We have consulted on asset sales and purchases and on many forms of joint ventures and limited liability companies, including on questions of capitalization, issuance of units, capital contributions, vesting schedules, dilution upon failure to make contributions, buyback, claw-back, buy-sell, tag-along, drag-along, family transfer rights, special lender provisions, such as special purpose entity and bankruptcy-remote clauses.

We represent non-profit organizations and associations as they deal with organizational issues, such as the revision of outmoded bylaws. We advise clients on issues of membership, self-perpetuating boards, developer turn-over provisions, voting, director liability and indemnification. As part of our pro bono efforts, we have obtained 501(c)(3) and 501(c)(4) classifications for a number of charitable organizations.
